
Terms of Use
1.Introduction
These Terms of Use, together with any documents they expressly incorporate by reference (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “user”) and ForgeByte Ltd. (“Company”, “Vinlytics”, “we”, “us”, or “our”), concerning your access to and use of the Vinlytics website https://vinlytics.io/) (“Platform”), including web-hosted user interfaces, website sub-pages, software, applications, mobile websites, mobile applications, media, content, and channels related, linked, or otherwise connected thereto as well as other services we may provide from time to time, (collectively with the Platform, our “Services”).
If you have anyone using the Services on your behalf, you agree that you are responsible for the actions and inactions of all such persons, as if they were your own.
These Terms also incorporate by reference our Privacy Policy, and your personal and usage data is processed in accordance with our Privacy Policy. Please read these Terms carefully before you start to use the Services. By accessing the Platform and/or using the Services, you accept and agree to be bound and abide by these Terms, including the Privacy Policy. If you do not want to agree to these Terms, you must not access our Platform or use our Services in any way.
The Services and all content and items thereon are offered and available to users who are 18 years of age or older only. By accessing the Platform and/or using the Services, you represent and warrant that you are of legal age to form a binding contract with the Company, and that you understand and accept the risks associated with the Platform. If you do not meet all of these requirements, you must not access the Platform or use the Services.
We may revise and update these Terms from time to time in our sole and absolute discretion. All changes are effective immediately when we post them and apply to all access to the Platform and use of the Services thereafter. Your continued access/ use of the Platform / Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page each time you access the Services so you are aware of any changes, as they are binding on you.
2.Services
While we may modify the Services, including the types of Services we offer, from time to time in our discretion, as mentioned herein, our initial Services will enable you to upload a photograph of a vehicle with a UK registration mark you have lawfully obtained, automatically extract the plate number, and instantly view the vehicle’s make, model, specifications, mileage records, indicative market value, and links to finance offers or alternative purchase listings.
To continuously improve our Services, Vinlytics reserves the right to undertake testing and may, in its sole and absolute discretion, provide users with different versions of the Services.
You acknowledge and agree that our Services (including our Services which you may access or use through third-party platforms) and any third-party services which we may make available to you may not be available to users located, residing, organized, established, or domiciled in any country or jurisdiction against which any country maintains comprehensive economic sanctions or an arms embargo.
We reserve the right to withdraw or amend the Services, and any service or material we provide on the Services, in our sole and absolute discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some or all parts of the Services to users, including registered users.
You are responsible for:
- Making all arrangements necessary for you to have access to the Services.
- Ensuring that all persons who access the Services through your internet connection are aware of these Terms and comply with them.
To use the Services or access certain features, you may need to provide registration details or other information, and you hereby undertake that any such information you provide is accurate, up-to-date, and complete in all respects. By registering or providing information, you agree that it will be handled in line with our Privacy Policy, and you consent to any actions we take with your information as described in the Privacy Policy.
3.Lawful Use of Services
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any manner that violates any applicable federal, state, local, or international laws or regulations, including, without limitation, laws related to data protection, privacy, intellectual property, or the export of data, software, or technology.
- Engage in any activity that could harm, disable, overburden, or impair the Services, interfere with any other party’s use of the Services, or compromise the security or integrity of the platform.
- Use the Services for any unauthorized or illegal purposes, including but not limited to fraud, money laundering, terrorism financing, or other prohibited activities.
- Use the Services in a way that infringes or violates the intellectual property rights of others, including trademarks, copyrights, or patents.
- Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
- Use any manual process to monitor or copy any of the material on the Services or for any other unauthorized purpose without our prior written consent.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services is stored, or any server, computer, or database connected to the Services.
- Provide false, misleading, or fraudulent information when using the Services, including during registration, transactions, or verification processes.
- Copy, mirror, or otherwise attempt to replicate or reproduce the Services.
- Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
- Upload any images you have captured unlawfully and that contain personal data you are prohibited from sharing under applicable laws.
- Upload unlawful, defamatory or infringing material.
- Use the Platform to harass or track individuals.
4.Intellectual Property Rights
Except for user-generated content, the Services, including all content, features, and functionality (collectively, the “Service Content”)—such as information, software, text, displays, images, graphics, video, audio, and the design, selection, and arrangement of these elements—are owned by the Company, its affiliates, licensors, or other providers and are protected under applicable copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. We may use third-party trademarks solely to identify or describe goods or services offered by such third parties. Such use does not imply any affiliation with or endorsement by those third parties unless explicitly stated.
You agree not to:
- Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of the Service Content without the prior written consent of the Company, except as allowed under these Terms.
- Access or use the Services or any Service Content for any commercial purpose without authorization.
- If you violate these Terms or enable others to access any part of the Services in breach of these Terms, your right to use the Services will terminate immediately.
- No rights, title, or interest in the Services or any Service Content is transferred to you, and the Company reserves all rights not expressly granted. Any unauthorized use of the Services or Service Content is a violation of these Terms and may also breach applicable copyright, trademark, and other laws.
Trademarks
The Company name, brand name, the terms “Vinlytics”, https://vinlytics.io, the Company logos, and all related names, logos, product names, service names, designs, and slogans are trademarks of the Company, its affiliates, or its licensors. You may not use such marks without the prior written permission of the Company. All other names, logos, product names, service names, designs, and slogans on the Services are the trademarks of their respective owners. Any use of these third-party trademarks without proper authorization may violate the intellectual property rights of those third parties.
User License for Uploaded Images
When you upload a plate image you grant Vinlytics a worldwide, royalty free, irrevocable licence to store, copy, display and create derivative works from that image for (i) generating your vehicle report, (ii) training and improving our recognition algorithms, (iii) compiling statistical datasets, and (iv) creating marketing or editorial content. You warrant that you have a lawful right to upload the image and that its use under this licence will not infringe third party rights. You may withdraw the licence for purposes (ii)–(iv) at any time by emailing [email protected]; on withdrawal we will delete or anonymise the image within 7 days.
5. Third Party Services
We use trusted sub-processors, including Google Analytics (website analytics), Firebase (analytics), Google AdMob (ad delivery), and Supabase (user login through OTPs). Each processes personal data strictly under our instructions. External links or ads on the Platform are provided for information only; we do not endorse their content and have no control over third-party sites.
Third Party Payment Processors
The Services may include links or integrations to third-party payment processors that facilitate payment for any paid features of the Services. If you choose to use these links, you acknowledge and agree that:
- You are entering into a direct transaction with the third-party payment processor and the payment is governed by their terms of use or service, privacy policies, and other applicable agreements.
- You must follow all instructions and requirements provided by the third-party payment processor during the payment process.
- Vinlytics does not offer, control, or manage these payment processing services. We provide access to these third-party services solely for your convenience.
- Vinlytics makes no representations or warranties regarding the availability, security, accuracy, or reliability of these third-party services.
- Vinlytics is not responsible or liable for any issues, disputes, losses, or damages arising from your use of these third-party services or transactions, including delays, errors, or unauthorized activities.
- By using third-party payment processors linked through our Services, you assume full responsibility for your transactions and agree to bear all associated risks, including potential loss of funds or assets.
- You are encouraged to carefully review the third-party provider’s terms of use, privacy policy, and any applicable disclaimers before proceeding with any transactions.
- You understand that we do not hold your assets and take no custody of them. We have no access to your assets or funds.
Payment processors act as independent data controllers for your card details; Vinlytics never stores full payment card data.
Limitation of Liability
To the fullest extent permitted by law, Vinlytics and its affiliates will not be liable for any indirect, consequential or special loss, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with the Platform or the Services, whether in contract, tort (including negligence) or otherwise.
Where you have paid a fee for a particular Service, our total aggregate liability to you for all claims relating to that Service will not exceed the total amount you actually paid for that Service during the twelve month period preceding the event giving rise to the claim (or, if greater, any minimum amount that cannot lawfully be limited under the Consumer Rights Act, 2015).
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable UK laws, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any statutory rights you may have as a consumer under the Consumer Rights Act, 2015.
6. Disclaimers and Indemnity
Third Party Data Sources
Vehicle information presented on the Platform is compiled from multiple authorised third party databases and commercial licensors (e.g., DVLA, MOT records, valuation services). While we use reasonable skill and care in selecting these sources, we do not create or control their content and therefore cannot guarantee that any particular data element is accurate, complete or up to date. Availability of data from a given source may be added, modified or withdrawn at any time without notice. Your reliance on third party data provided through the Platform is at your own risk
No Fiduciary Relationship
Vinlytics is not a broker, financial institution, or intermediary and is in no way your agent, advisor, or custodian.
Vinlytics has no fiduciary relationship or obligation to you regarding any decisions or activities that you execute in connection with use of the Services. These Terms are not intended to create any fiduciary relationship between you and Vinlytics or any third party.
No Professional Advice
Unless explicitly agreed in writing, Vinlytics does not recommend, endorse, or otherwise take a position on your use of these Services or any information contained therein. Information on the Platform is for general information only and does not constitute financial or legal advice.
Third-Party Integration and Services
The Services may integrate with third-party platforms, applications, wallets, or other services (“Third-Party Services”). Vinlytics does not control, endorse, or assume responsibility for any Third-Party Services, and your use of such services is at your own risk.
Any transactions or interactions with Third-Party Services are solely between you and the third-party provider. Vinlytics is not a party to these transactions and is not liable for any issues, including errors, system failures, or security breaches that occur through the use of these services.
You agree to indemnify Vinlytics for any claims, losses, or damages arising from your use of Third-Party Services. It is your responsibility to review the terms and policies of any Third-Party Services before using them.
No Guarantees and Indemnity
The Services are provided on an 'as-is' and 'as available' basis, without any representations or warranties of any kind, either express or implied. Vinlytics does not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components, nor do we guarantee the accuracy, completeness, or timeliness of any information provided through the Services.
You acknowledge that any transactions, interactions, or use of the Services involve inherent risks, including but not limited to security risks, network failures, and technological limitations. Vinlytics makes no guarantees regarding the success or profitability of any third party payment processor transactions or the performance of any third-party service.
You agree to indemnify, defend, and hold Vinlytics, its affiliates, officers, directors, employees, agents, and licensors harmless from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services;
- Your violation of these Terms, Privacy Policy, applicable laws, or the rights of third parties;
- Any claim that an image or other content you upload infringes a third-party’s intellectual-property or privacy rights;
- Any disputes or claims related to your interactions with third-party service providers, payment processors, or other users;
We will promptly notify you of any such claim and may, at our discretion, permit you to conduct the defence; we reserve the right to participate with counsel of our choosing at your expense. Nothing in this clause limits or excludes any liability that cannot be limited or excluded under applicable laws. The indemnity obligations outlined above will survive the termination or suspension of your access to the Services.
7.Fees
Some or all Services may incur a fee. Any applicable fee will be shown on screen before you confirm a purchase. We may add, change, or remove fees at any time by posting the revised price on the Platform. All prices are in pounds sterling, payable immediately using our accepted payment methods. Fees are non refundable except where UK consumer laws require otherwise.
8.Tax Responsibilities
You acknowledge and agree that you are solely responsible for determining and paying all taxes, duties, and other governmental charges, including but not limited to sales, use, income, or capital gains taxes, arising from your use of the Services. Vinlytics is not responsible for withholding, collecting, or remitting any taxes or fees on your behalf. You agree to indemnify and hold Vinlytics harmless from any claims, losses, or penalties arising from your failure to comply with applicable tax laws. We recommend that you consult with a tax advisor to understand your obligations regarding any tax liabilities associated with your transactions on the platform.
9.Governing Law
These Terms and any disputes arising out of or related to them, the Services, or your use of the Services, shall be governed by and construed in accordance with the laws of United Kingdom, without regard to its conflict of laws principles.
10.Dispute Resolution
Any disputes, controversies, or claims arising out of or relating to these Terms, your use of the services, or any related matters (collectively, “Disputes”) shall first be attempted to be resolved amicably through good-faith discussions between you and Vinlytics.
If a resolution cannot be reached within 30 days, the Dispute shall be referred to and finally resolved by arbitration in London, United Kingdom in accordance with the rules of the London Court of International Arbitration (LCIA), which are deemed to be incorporated by reference into this clause. The arbitration shall be conducted in English before a sole arbitrator appointed by VINLYTICS in accordance with the LCIA Rules.
The decision of the arbitrator shall be final and binding on the parties. Nothing in this clause shall prevent either party from seeking urgent interim relief from a court of competent jurisdiction in United Kingdom.
11.Assignment
You may not assign, transfer, or sublicense these Terms, or any of your rights or obligations hereunder, without the prior written consent of Vinlytics. Any attempted assignment, transfer, or sublicense without such consent will be null and void.
Subject to the foregoing, these Terms will inure to the benefit of, and be binding upon, the parties and their respective successors, assigns, and legal representatives. Vinlytics may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction and without your consent.
12.Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable, consistent with the intent of the original provision.
13.Force Majeure
Vinlytics shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government action, strikes, lockouts, system failures, network congestion, or any other event that cannot be foreseen or controlled. In the event of such circumstances, Vinlytics will make reasonable efforts to mitigate the impact and resume performance as soon as reasonably possible. If the force majeure event lasts for an extended period of time, Vinlytics may, at its sole discretion, terminate or suspend the affected services.
